The effective date appears at the top of these Terms. We may update these Terms; material changes will be announced with advance notice.
About PixLab: PixLab, operated by Symisc Systems SUARL, is a technology company specializing in cloud-based computer vision, document intelligence, and creative-media automation. Through its unified API platform and web-based tools, PixLab enables developers, businesses, and creators to process, analyze, and transform visual and document data at scale.
By connecting to the PixLab Console and obtaining an API Key, users can integrate these capabilities into their own software, products, or workflows under the terms set out below. These Terms of Service ("Terms") form a binding agreement between PixLab and you. By accessing or using the Services, you represent that you have read, understood, and agree to be bound by these Terms.
1. Introduction and Scope
These Terms form a binding agreement between PixLab ("Company," "we," "us," or "our") and the entity or individual that creates an account, uses the PixLab platform, or accesses any related website, console, API, SDK, or documentation (collectively, the "Services").
By accessing or using the Services, you represent that you have read, understood, and agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you warrant that you have authority to bind that entity.
These Terms incorporate by reference:
- The Privacy Policy
- The Cookie Policy
- any Order Forms or subscription pages referencing these Terms
If you do not agree to these Terms, you must not use or access the Services. Continued use after notice of changes constitutes acceptance of the revised Terms.
Separate Agreements: PixLab may offer portions of the Services free of charge or under separate written agreements. Where a signed master or enterprise agreement exists, its provisions prevail to the extent of conflict.
2. Definitions and Interpretation
- Account: A unique registration allowing access to the Services.
- Administrator: A user authorized to manage an Account on behalf of a Customer.
- Customer Data: Any data, images, text, or other content you or your users submit to the Services ("Inputs"), as well as any results, predictions, or generated materials the Services return ("Outputs").
- Documentation: The user guides, SDK references, and technical materials made available by PixLab.
- Effective Date: The earlier of (a) the date you first access the Services or (b) the date shown on an Order Form.
- Order Form: An online or written order specifying the plan, term, and pricing of the Services.
- Subscription Term: The period during which you are authorized to access the Services.
- Law: All applicable statutes, regulations, and governmental orders.
Interpretation: Headings are for convenience only. "Include" and its variants mean "including without limitation." References to singular include plural. In case of conflict, Order Form → Terms → Documentation is the order of precedence.
3. Changes to Terms or Services
We reserve the right to modify the Services and update these Terms at any time and at our sole discretion. We will notify you of any changes by posting the updated Terms on the Services or through other communications. Your continued use of the Services constitutes acceptance of the updated Terms. It is your responsibility to review the Terms periodically to remain informed of any modifications. If you do not agree to the updated Terms, you must discontinue your use of the
Services. We may, at any time and at our sole discretion, change, suspend, or discontinue any part of the Services, or restrict access to any portion of the Services, without prior notice.
4. Eligibility, Account Registration, and Security
Eligibility: You must be at least the legal age of majority in your jurisdiction and legally capable of forming a binding contract. If you act on behalf of an organization, you represent you are authorized to bind it.
Account Creation: To access certain features, you must register an Account, provide accurate and complete information, and maintain its accuracy. PixLab may reject or revoke any registration if the information is false, misleading, or incomplete.
Account Security: You are responsible for safeguarding credentials and all activity occurring under your Account. Notify PixLab immediately of unauthorized use. PixLab is not liable for losses arising from your failure to secure credentials.
Administrative Access: Where multiple users are under one Account, the designated Administrator controls permissions and may access or delete Customer Data. PixLab acts on instructions from that Administrator.
Prohibition of Multiple Accounts for Abuse: Creating duplicate or deceptive Accounts to circumvent quotas, pricing, or restrictions is prohibited and may result in termination.
5. Service Description; Access Rights; Documentation
PixLab provides a hosted, cloud-based platform enabling processing, analysis, and transformation of digital content through machine-learning or image-processing technologies, accessible via web interfaces, APIs, SDKs, and related tools.
License Grant: Subject to your compliance with these Terms and payment of applicable fees, PixLab grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services during the Subscription Term solely for your internal business or research purposes in accordance with the Documentation.
Restrictions: You may not:
- resell, sublicense, or rent the Services
- reverse engineer or derive source code except to the limited extent permitted by Law
- access the Services for competitive analysis or to develop a similar product
- circumvent technical limitations or usage quotas
Documentation: You may reproduce and use the Documentation internally in connection with authorized use of the Services. All proprietary notices must be retained.
Modification and Availability: PixLab may enhance or update features and may deprecate or retire legacy APIs with reasonable prior notice. PixLab endeavors to maintain uptime consistent with industry standards but does not guarantee uninterrupted access.
6. Software, SDKs, and Client Libraries
If PixLab provides downloadable software components, SDKs, or client libraries ("Software"), PixLab grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely to interact with the Services in accordance with these Terms and the Documentation.
Restrictions: Except as expressly permitted, you must not modify, reverse engineer, decompile, remove proprietary notices, or use the Software to build competing products.
Open-Source Components: Certain elements of the Software may include or link to open-source code. These components are licensed under the applicable open-source licenses identified in the Documentation.
7. API Terms: Keys, Quotas, Rate Limits
API Access: PixLab may provide application programming interfaces ("APIs") to enable programmatic access to certain functionalities. API usage is subject to these Terms and any additional limits set in your Account or Order Form.
API Keys: You must use valid API keys issued to your Account and keep them confidential. Keys are personal to your Account and may not be shared or embedded in publicly distributed code.
Rate Limits and Fair Use: PixLab may impose rate limits, throughput caps, or concurrent-call restrictions. Exceeding those limits may result in throttling, temporary suspension, or revocation of access.
Deprecation: PixLab may deprecate or replace APIs. At least 90 days' notice will be given before permanent retirement unless security or legal reasons require shorter notice.
8. Inputs, Outputs, and Content Rights
Ownership of Inputs: You retain all rights, title, and interest in and to any data, images, text, or other material you or your authorized users submit to the Services ("Inputs").
License to Operate the Service: You grant PixLab a worldwide, non-exclusive, royalty-free license to host, process, reproduce, and display Inputs as necessary to provide and improve the Services, comply with Law, and maintain system integrity.
Outputs: Unless otherwise stated in an Order Form, you own the Outputs generated from your lawful use of the Services, subject to PixLab's underlying model weights, algorithms, and pre-existing intellectual property.
Residuals: PixLab may retain and use residual know-how, generalized learnings, and non-identifiable statistical data derived from your Inputs and Outputs to enhance the Services, develop new features, and ensure security.
Moral Rights: To the extent permitted by Law, you waive any moral rights in Inputs or Outputs necessary for PixLab to operate, maintain, and enhance the Services.
Customer Responsibility: You are solely responsible for (a) securing rights to Inputs, (b) ensuring their legality and non-infringement, and (c) managing how Outputs are used or disclosed to third parties.
9. Acceptable Use Policy (AUP)
You and your users must use the Services responsibly, consistent with applicable Law and these Terms.
Prohibited Activities - You must not:
- upload or transmit content that is unlawful, defamatory, obscene, invasive of privacy, infringing, or otherwise objectionable
- use the Services to identify individuals without consent or to process biometric or sensitive personal data unless explicitly allowed
- attempt to probe, scan, or test system vulnerabilities or circumvent access controls
- interfere with or disrupt networks, APIs, or systems connected to the Services
- use the Services for spam, phishing, or fraudulent schemes
- access or use the Services for high-risk activities such as life support, medical, or safety-critical operations
- use the Services to develop or train models or datasets that compete with PixLab
Monitoring and Enforcement: PixLab may monitor use for compliance, investigate violations, and suspend or terminate access that violates this AUP.
10. Third-Party Services and Integrations
The Services may enable integration with third-party software, plug-ins, or APIs ("Third-Party Services"). Use of such integrations is at your option and risk. PixLab does not control or endorse them and is not responsible for their acts, omissions, or content.
11. Privacy; Role Allocation; Data Processing
PixLab processes personal data in accordance with its Privacy Policy and applicable data protection laws. The Privacy Policy explains how PixLab collects, uses, and safeguards personal information.
Role of the Parties: With respect to Customer Data, PixLab acts as (a) a processor (or service provider) when processing data on your behalf, and (b) a controller for personal data it collects directly, such as billing, account, or analytics information.
Data Processing Addendum: Where required by Law, a Data Processing Addendum ("DPA") supplements these Terms and governs the processing of personal data originating from the European Economic Area, the United Kingdom, or other jurisdictions with similar data-transfer regimes.
Customer Obligations: You are responsible for obtaining all legally required consents and for ensuring that your use of the Services complies with applicable privacy and data protection laws.
12. Security; Customer Responsibilities
PixLab's Security Measures: PixLab maintains industry-standard administrative, technical, and organizational safeguards designed to protect the confidentiality, integrity, and availability of the Services and Customer Data.
Customer Security Duties: You are responsible for (a) securing your Account credentials, (b) configuring access permissions, and (c) maintaining up-to-date devices and browsers used to access the Services.
Incident Notification: In the event of a confirmed unauthorized access, breach, or security incident affecting Customer Data, PixLab will notify you without undue delay and provide information reasonably available to assist you in meeting any legal obligations.
Cooperation: Each party will cooperate in good faith in any investigation or remediation effort.
No Absolute Guarantee: You acknowledge that no online service can be entirely immune from risks, and PixLab does not guarantee absolute security of information transmitted or stored through the Services.
13. Service Levels, Support, and Maintenance Windows
Availability: PixLab aims to maintain high availability consistent with SaaS industry norms. Unless otherwise stated in an Order Form or Service Level Agreement ("SLA"), the Services are provided without a guaranteed uptime percentage.
Support: Standard technical support is available via email or support portal during published business hours. Enhanced support tiers or dedicated response times may be purchased under a separate plan.
Maintenance Windows: PixLab may perform routine maintenance or updates during off-peak periods, typically with advance notice via the Console or status page.
Exclusions: Downtime resulting from factors outside PixLab's reasonable control (e.g., internet failures, force majeure, customer systems) is excluded from uptime calculations.
Sole Remedy: If an SLA applies and PixLab fails to meet its commitments, your exclusive remedy is a service credit as defined in that SLA. Service credits are not redeemable for cash or refunds.
13A. Data Residency (EU Region)
For customers in the EU region with data residency or compliance requirements, PixLab offers the ability to deploy a private compute instance hosted in the European Union (France or Germany).
- Each private instance is assigned its own API subdomain (e.g.,
yourorg.api.pixlab.io), ensuring traffic is localized and infrastructure is isolated, complying with EU GDPR regulations ensuring data stays within the EU.
- To comply with GDPR, all uploaded ID document images are processed directly in memory (RAM) and purged immediately after analysis. PixLab does not retain any image or extracted data unless you explicitly configure it to export face crops or metadata to your private AWS S3 bucket.
- This architecture ensures maximum privacy and eliminates long-term retention of any personally identifiable information by default.
14. Trials, Free Tiers, and Beta/Preview Features
Trials and Free Tiers: PixLab may offer limited, free access or trials of certain features. Use during such periods is at your own risk and on an "as-is" basis.
Beta or Preview Features: Beta, preview, or experimental functionality ("Beta Features") may be made available for testing and feedback. Beta Features may be changed, suspended, or discontinued at any time without notice.
Data Handling: Beta Features may not include the same data protection or redundancy commitments as production Services. You should avoid using them with sensitive or regulated data.
Feedback: You agree that PixLab may freely use feedback, suggestions, or error reports you provide regarding Beta Features for product improvement without obligation or compensation.
Termination of Trial: PixLab may terminate a trial or free tier at any time. After termination, data may be deleted or inaccessible unless you convert to a paid plan before expiration.
15. Fees, Billing, Taxes, and Renewals
Fees: Fees for paid Services are set out in the applicable Order Form or pricing page. All fees are payable in the currency stated and are non-refundable except as expressly provided herein.
Billing and Payment: You authorize PixLab or its payment processor to charge the payment method on file for recurring subscription fees and applicable taxes. PixLab may issue invoices electronically or via the Console.
Taxes: Fees exclude all taxes, levies, or duties imposed by taxing authorities. You are responsible for payment of all such taxes except those based on PixLab's net income.
Renewals and Fee Changes: Subscriptions renew automatically for successive terms unless cancelled before renewal. PixLab may adjust pricing effective upon renewal by giving at least thirty (30) days' advance notice.
Usage-Based Billing: If your plan includes metered components, charges are calculated from measured activity during the billing period. PixLab's logs and metrics are final for billing purposes.
Failure of Payment: If any charge is declined or remains unpaid, PixLab may suspend access until full payment is received. Reinstatement may require settlement of outstanding amounts and applicable reactivation fees.
Disputed Charges: You must notify PixLab of disputed amounts within fifteen (15) days of invoice. Both parties will work in good faith to resolve the dispute. Undisputed amounts remain payable.
No Set-Off: You may not withhold or offset payments against any credits, counterclaims, or disputes unless required by Law.
Community and Public Content: If PixLab later launches shared datasets, workflows, or SDK hubs, a section governing upload rights, license to PixLab and other users, takedowns, and moral-rights waiver will be added.
16. Late Payments; Suspension; Reinstatement
Late Payments: Amounts not received by the due date accrue late fees at the maximum rate permitted under law, calculated daily and compounded monthly. PixLab reserves the right to suspend Services until all overdue amounts are paid.
Collection Costs: You shall reimburse PixLab for reasonable costs incurred in collecting past-due amounts (including attorneys' fees and agency fees).
Suspension for Cause: PixLab may suspend access to the Services immediately if (a) payment is overdue; (b) PixLab reasonably believes your use violates Law or these Terms; (c) continued use creates security or operational risk; or (d) required by court order or government directive.
Notice and Cure: PixLab will use reasonable efforts to notify you before suspension and may restore access promptly once the issue is remedied.
Effect of Suspension: Suspension does not relieve you of accrued fees or other obligations. Data retention during suspension is at PixLab's discretion.
Reinstatement: PixLab may require payment in advance or adequate security before restoring suspended accounts.
17. Refunds, Credits, and Chargebacks
Refund Policy: PixLab provides a complete money-back guarantee for all paid plans. If you are dissatisfied with your subscription, you may request a full refund within fourteen (14) calendar days of purchase—no questions asked. After this period, refunds are no longer available.
We encourage customers to use free trials to evaluate the Service before purchase. If PixLab or Symisc Systems suspends or terminates your account for breach, you are not entitled to any refund or exchange for unused subscription time, credits, or other account content.
Service Credits: If an applicable SLA or PixLab policy grants service credits for downtime or performance issues, such credits are your sole remedy and may be applied only against future subscription fees.
Chargebacks: Filing a chargeback or payment dispute without first notifying PixLab constitutes a material breach of these Terms. PixLab may suspend or terminate Accounts subject to chargebacks.
Statutory Rights: Nothing in this Section limits any mandatory consumer rights that cannot be waived under applicable international law.
18. Publicity; Trademark and Logo Use
Limited Permission: You grant PixLab the right to list your name and logo on PixLab's websites and marketing materials solely to identify you as a customer.
Revocation: You may withdraw this permission at any time by emailing [email protected]. PixLab will remove the reference within a reasonable period.
Restrictions: Neither party may issue press releases or public statements about their relationship without the other's prior written consent, except as required by Law or stock-exchange rules.
No Endorsement: Use of logos or names does not imply endorsement of either party's products or services.
19. Feedback and Usage Data
Feedback License: If you provide ideas, suggestions, or other feedback relating to the Services ("Feedback"), you grant PixLab a perpetual, irrevocable, worldwide, royalty-free license to use, modify, incorporate, and commercialize that Feedback without obligation or attribution.
Usage Data: PixLab may collect and analyze aggregated or de-identified data derived from Service usage for the purpose of analytics, security monitoring, capacity planning, and product improvement.
No Confidentiality in Feedback: You agree that Feedback is not Confidential Information, and PixLab has no duty to maintain its secrecy or to implement it.
20. Intellectual Property; Reservation of Rights
Ownership: PixLab and its licensors retain all rights, title, and interest in and to the Services, Software, APIs, models, algorithms, and all related intellectual property, including any improvements or derivative works created during the performance of these Terms.
Customer Ownership: Except for the limited rights granted herein, nothing in these Terms transfers ownership of Customer Data, Inputs, or Outputs to PixLab.
Reservation of Rights: All rights not expressly granted are reserved to PixLab. No implied licenses arise under these Terms.
Restrictions: You must not copy, modify, translate, adapt, or create derivative works based on the Services except as authorized in the Documentation. Reverse engineering is prohibited except to the extent that Law expressly permits it despite this limitation.
No Training on PixLab Data: You may not use any part of the Services or their Outputs to train or improve competing machine-learning models without PixLab's prior written consent.
Notice of Infringement: If you believe that content available through the Services infringes your copyright or other intellectual property rights, please submit a detailed notice to PixLab's Designated Agent at [email protected] in accordance with applicable Law.
Preservation of Marks: PixLab's name, logos, and product marks are its trademarks. You may not use them without prior written authorization, other than fair use for truthful reference.
Confidentiality: Each party shall keep in strict confidence all non-public, proprietary, or confidential information disclosed by the other, use it only for contract performance, and protect it using at least reasonable care. Exclusions: information already public, independently developed, or lawfully obtained. Survival: 3 years post-termination (or indefinitely for trade secrets).
21. Data Governance: Retention, Export, and Deletion
Data Retention: PixLab retains Customer Data only as long as necessary to provide the Services, comply with legal obligations, resolve disputes, or enforce agreements.
Customer Controls: You may export or delete your Customer Data using the tools provided within your Account. PixLab strongly encourages periodic backups.
Deletion at Termination: Within a commercially reasonable time after termination or expiration of your Subscription, PixLab will delete or anonymize Customer Data from active systems, except data retained for legal, audit, or security purposes.
Backups and Archives: Copies stored in backup media may persist until overwritten through standard rotation cycles. PixLab shall maintain confidentiality and security of such archived data.
Compliance Preservation: If deletion of data would conflict with a legal hold or preservation order, PixLab may retain the affected data until the hold is released.
Export Requests: Upon request before termination, PixLab will make reasonable efforts to assist in exporting Customer Data in a structured, commonly used format, subject to applicable fees for extensive support.
22. Model and Feature Improvement Options
Use of Data for Service Improvement: PixLab may analyze anonymized or aggregated usage data and performance metrics to enhance algorithms, identify trends, and develop new features.
Training Data: PixLab will not use identifiable Customer Data to train or fine-tune machine-learning models unless you provide explicit consent or enable a feature that clearly discloses such use.
Opt-Out: Customers may opt out of data usage for product-improvement purposes through Account settings or by contacting PixLab at [email protected]. Opting out may limit access to certain adaptive or personalized features.
Transparency: PixLab will publish a summary of data categories used for model optimization, ensuring alignment with its Privacy Policy.
Residuals: Non-identifiable residuals—such as generalized learnings or error patterns—may continue to be used internally to improve reliability and security of the Services.
23. High-Risk Use and Safety-Critical Exclusions
High-Risk Use: The Services are not designed or intended for use in environments requiring fail-safe performance, such as medical, aviation, nuclear, transportation, or life-support systems.
Prohibited Applications: You must not use the Services for or in connection with any application where failure could lead to death, personal injury, or severe environmental damage.
Compliance Responsibility: You are responsible for ensuring that your use of the Services in regulated or safety-sensitive industries complies with all applicable standards, certifications, and oversight requirements.
Indemnity for Misuse: You agree to indemnify and hold harmless PixLab from claims arising from your use of the Services in high-risk or prohibited contexts.
24. Indemnities
Customer Indemnity: You shall defend, indemnify, and hold harmless PixLab and its affiliates, officers, directors, and employees from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- your use of the Services in violation of Law or these Terms
- any Inputs or Outputs that infringe third-party intellectual property rights or privacy rights
- your Customer Applications or integrations built on the APIs
PixLab Indemnity: PixLab will defend and indemnify you from third-party claims alleging that the Services, as provided by PixLab and used in accordance with these Terms, infringe any patent, copyright, or trademark of a third party. PixLab has no obligation where the claim arises from unauthorized modifications or combinations, use with non-PixLab data or systems, or Customer Inputs.
Remedies: If a claim is likely, PixLab may at its option (a) procure for you the right to continue using the Services, (b) replace or modify them to avoid infringement, or (c) terminate the affected portion and refund unused fees. These remedies are your sole and exclusive recourse for any IP claim.
Procedure: Each party seeking indemnification must promptly notify the other in writing, grant control of defense and settlement to the indemnifying party, and provide reasonable assistance.
25. Disclaimers
As-Is Basis: The Services are provided "as is" and "as available." PixLab disclaims all warranties, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment.
No Guarantee of Accuracy: Outputs generated by machine-learning or image-processing systems are probabilistic and may contain errors. PixLab makes no representation regarding the accuracy or fitness of any Output for your intended use.
Third-Party Resources: PixLab is not responsible for third-party content, integrations, or links accessed through the Services.
Beta Features: Any Beta or preview functionality is offered for evaluation only without warranty and may be withdrawn at any time.
Jurisdictional Limits: Certain jurisdictions do not allow the exclusion of implied warranties, so some disclaimers may not apply to you.
26. Limitation of Liability
Cap on Damages: To the maximum extent permitted by Law, PixLab's total aggregate liability arising from or related to these Terms shall not exceed the fees actually paid by you to PixLab for the Services in the twelve (12) months preceding the event giving rise to the claim.
Exclusion of Indirect Damages: Neither party shall be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, goodwill, or data, even if advised of the possibility of such loss.
Exceptions: These limitations do not apply to (a) each party's indemnification obligations, (b) breach of confidentiality or IP rights, or (c) liability that cannot legally be excluded or limited.
Allocation of Risk: The fees charged reflect the allocation of risk set forth in this Section. If any limitation is found invalid, the parties intend it to apply to the maximum extent permitted.
27. Term; Termination; Effect of Termination
Term: These Terms remain in effect for the duration of your Subscription or use of the Services.
Termination for Convenience: Either party may terminate for convenience at the end of a Subscription Term by providing notice in accordance with the cancellation procedure in the Console.
Termination for Cause: Either party may terminate immediately on written notice if the other party (a) materially breaches these Terms and fails to cure within 30 days after notice, (b) becomes insolvent or is subject to bankruptcy proceedings, or (c) ceases business.
Effect of Termination: Upon termination, you must immediately cease using the Services and delete any PixLab Software or API keys from your systems. PixLab will disable access and delete Customer Data pursuant to our data retention policies.
Survival: Sections 2, 5.3, 8, 9, 12, 16 through 20, 21 through 30, and any other provision that by its nature should survive termination shall continue in effect.
Outstanding Obligations: Termination does not affect any payment obligations incurred before the effective date of termination. PixLab may refuse or discontinue Accounts for any reason consistent with law, including repeated abuse or non-payment.
28. Service Level Agreements (SLA)
Service Level Agreements (SLAs) are not included in standard plans. However, enterprise-level clients and those with critical business needs may request a customized 99.9% SLA uptime guarantee with PixLab | Symisc Systems ↗.
SLA Offerings for Enterprise Customers include:
- Guaranteed 99.9% Uptime: Available for enterprise customers upon request.
- Priority Support & Dedicated Resources: Faster response times and technical assistance.
- Custom Agreements: Negotiable terms tailored to business-specific needs.
29. Compliance with Laws; Export Controls and Sanctions
Compliance Obligations: Each party shall comply with all applicable laws, regulations, and government orders, including those relating to data protection, export controls, economic sanctions, and anti-bribery.
Export Compliance: You shall not export, re-export, or permit access to the Services (including related technical data) in violation of any applicable export laws or sanctions regulations, including those administered by the U.S. Department of Commerce or OFAC.
Sanctioned Entities and Territories: You represent and warrant that neither you nor your end users are (a) located in a country subject to comprehensive sanctions or (b) identified on any government restricted-party list.
Anti-Corruption: You shall not offer or provide bribes or improper payments in connection with the Services. PixLab maintains zero tolerance for corrupt practices.
Government Requests: If a government or law-enforcement agency seeks access to Customer Data, PixLab will, where legally permissible, (a) redirect the request to you and (b) notify you before disclosure.
30. Government End-Users; Restricted Rights
Commercial Items: The Services, Software, and Documentation are "commercial items" as defined in applicable procurement regulations.
Restricted Rights Notice: Government users acquire the Services with only those rights customarily provided to the public pursuant to these Terms. All software and technical data are provided with "RESTRICTED RIGHTS."
No Mandatory Flow-Down: Nothing in these Terms subjects PixLab to any government procurement clause or obligation unless expressly agreed in writing and signed by an authorized PixLab representative.
Waiver of Sovereign Immunity: To the extent permitted by Law, government entities agree that their use of the Services constitutes a waiver of sovereign immunity for enforcement of these Terms.
31. Disputes, Governing Law, and Arbitration
Governing Law: These Terms are governed by and construed in accordance with the laws of the Republic of Tunisia, without regard to conflict-of-laws principles.
Informal Resolution: The parties shall first attempt to resolve any dispute informally through good-faith discussions for at least thirty (30) days before initiating formal proceedings.
Binding Arbitration: Except as otherwise provided by mandatory law, any dispute arising out of or relating to these Terms shall be finally settled by confidential, binding arbitration before the Tunis Centre for Conciliation and Arbitration (Centre de Conciliation et d'Arbitrage de Tunis). The seat of arbitration shall be Tunis, Tunisia, and the language shall be English. Each party shall bear its own costs and share equally the fees of the arbitrator unless the
tribunal decides otherwise.
Class-Action Waiver: All claims must be brought on an individual basis; no class, collective, or representative actions are permitted.
Injunctive Relief: Nothing prevents either party from seeking temporary or permanent injunctive relief in a court of competent jurisdiction to protect confidential information or intellectual property.

32. General Terms
Entire Agreement: These Terms, along with any documents referenced or incorporated herein, constitute the complete and exclusive understanding and agreement between PixLab and you concerning the Services and Content. These Terms supersede all prior oral or written understandings or agreements.
Notices: Any notices or other communications provided by PixLab under these Terms, including those regarding modifications to these Terms, will be delivered: (i) via email; or (ii) by posting on the Websites.
Assignment: You may not assign or transfer these Terms without PixLab's prior written consent. PixLab may assign its rights and obligations to an affiliate or successor in interest without notice.
Force Majeure: Neither party is liable for delay or failure to perform due to events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, or internet failures.
Severability and Waiver: If any provision of these Terms is held unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remainder shall remain in full force and effect. Failure to enforce any right or provision shall not constitute a waiver of that or any other right or provision.

All information that you provide in connection with a purchase or transaction must be accurate, complete, and current. You agree to pay all charges incurred by users of your credit card, debit card, or other payment method used in connection with a purchase at the prices in effect when such charges are incurred.
